These terms of use ("Terms") are intended to govern the terms and conditions under which Projectify* ("we" "us" or "our") allows you to access and use the portal we have developed, host, manage, and/or operate, accessible through the hyperlink www.startupfinancialspro.com ("the Portal" or "the Platform"). By using our Portal, you agree to be legally bound by these Terms.

The Portal has been designed to assist startup businesses with financial projections and financial modelling regarding specific businesses or ventures (the latter each constituting "a Business"). Startup Financials Pro may also generate financial plan reports, AI-generated commentary, charts, tables and PDF or Word/DOCX exports where these features are available.

For ease of reference, we will use the term "Offerings" to refer to any feature, functionality or service that we make available through our Portal.

When you open an account with us, you become bound by these Terms and thus, we encourage you to take a few moments to read such Terms carefully and make sure you understand them.

We have tried to make these Terms fair and straightforward. However, if you have any questions, please feel free to get in touch with us through any of our contact channels.

1. Account

In order to access any of our Portal and generally benefit from our Offerings, you must have an active account. To create an account with us ("Account"), you must:

  • Complete the registration process by submitting the information requested in the account registration page;
  • Be either a registered company or a trader acting in your own name for business purposes, and not an individual consumer for personal or household use. This means that our Offerings are intended solely for commercial or professional activities. By creating an Account, you represent and warrant that you are acting on behalf of a legal entity or as a sole trader, and that your use of the Portal and Offerings is strictly for business purposes. Any accounts created in violation of this provision may be subject to suspension or termination at our discretion;
  • List the user(s) (depending on your subscription plan) that you want to access the data associated with a Business. Once you create an Account, you will be automatically deemed to be an authorised user allowing you to access all the functionalities associated with your subscription plan. Certain subscription plans allow you to add additional users. By doing so, you acknowledge and understand that such additional users will gain access to all the data that is associated with your Business. You are entirely responsible for managing who has access to your Businesses by following the instructions in our Portal.
  • Agree to be bound by the Terms; and
  • Undertake to ensure that any information you provide is correct and kept up to date on an ongoing basis.

2. Account Safety

You are entirely responsible to ensure that you do not disclose the password chosen to anyone and if you suspect that your password has been compromised you may contact us to provide you with a new one. We will assume that anyone logging in by entering the correct username and password is the person entitled to do so. We shall not be held responsible or liable for any loss that you incur as a result of misuse of your login details.

3. General Provisions & Disclaimers

The platform is designed for users with some level of financial literacy, particularly in the areas of startup financial projections and financial modelling. Users are expected to have an understanding of key financial concepts, ratios, and metrics necessary to effectively navigate the platform and interpret the results.

The financial ratios, projections, and calculations generated by the Platform are based on recognized financial standards and industry practices. While we ensure that our solution aligns with these standards, it is important for users to have the necessary expertise to apply the results accurately within their business context. We assume no liability for misinterpretation of data due to a lack of financial knowledge.

Whilst every effort has been made to ensure the accuracy of the Platform's contents and calculations, Users should note that it is impractical to test the Platform exhaustively to detect all errors. The Platform is subject to several limitations:

  • Projections are based on user-defined assumptions. Users are responsible for verifying their accuracy;
  • The Platform includes certain input validations but does not correct errors or warnings;
  • It may not account for all potential income, expenses, gains, losses, assets, liabilities and equity components that may arise in a business context;
  • Projections are limited to a maximum of 60 months;
  • The Platform excludes impacts related to sales taxes, prepayments, accruals, and specific jurisdictional tax or GAAP considerations; and
  • It focuses on financial metrics and may omit non-financial factors.

Users are responsible for adjusting for these limitations and should seek professional advice before making decisions based on the Platform's outputs.

Users are responsible for the accuracy of all information and assumptions they enter, and for reviewing all calculations, commentary, reports and exported documents before relying on them.

Startup financial projections are forward-looking statements based on assumptions provided by you. Actual results may differ materially from projected results due to factors including market conditions, operational performance, timing differences, financing changes, economic events, and other variables beyond our control.

The Startup Financial Plan Pack is generated from information entered by the user and outputs produced by the platform. It is provided for planning and informational purposes only.

Nothing in the platform, including projections, dashboards, reports, exports or AI-generated commentary, constitutes financial, investment, tax, accounting, legal, fundraising, lending or other professional advice.

AI-generated commentary is based on user inputs and available projection data. It may be inaccurate, incomplete or unsuitable for a particular purpose. Users should review and edit all AI-generated content before relying on it or sharing it with third parties.

The Platform's outputs should not be regarded as professional financial or accounting advice. If you are uncertain about how to apply the data generated by the platform, we recommend consulting with a financial advisor or professional to assist in interpreting and applying the results in decision-making.

You acknowledge that you have not relied on any representation, statement or promise not expressly set out in these Terms.

You acknowledge that you are solely responsible for evaluating whether the Platform and the Offerings are suitable for your specific business requirements.

4. Main Features

The "Setup" section involves the initial configuration of your Business within the platform, where users input foundational data required for the financial modelling process. The following terms apply:

  • Users are responsible for providing accurate and complete information in the Setup section. We are not liable for any inaccuracies in the inputs provided by users, which may affect the outputs of the financial models.
  • You may modify the Setup parameters at any time during this stage. However, any changes made after completing the Setup may require re-validation of the financial models and projections.
  • Access to Setup tools and modules within this stage is granted only to users with the necessary permissions. You are responsible for ensuring that only authorized personnel have access to the setup functions of your Business.

The "Revenue" section focuses on the input of assumptions to calculate expected revenues and cost of sales for the Business over the projection period. The following terms apply:

  • In this section, you will input key revenue and cost of sales assumptions, including naming, sales volumes, prices, payment terms, revenue stream types, variable costs per unit and inventory months. These inputs are necessary to provide a forecast of the Business's expected revenues, cost of sales, accounts receivables, accounts payable, inventory balances and related cash flows.
  • You are solely responsible for the accuracy, completeness and reasonableness of the assumptions you input. The Platform may assist in calculating projections based on this data, but incorrect assumptions may lead to inaccurate forecasts and analyses.
  • You may modify assumptions at any time in this section, and the projected outputs will update accordingly. However, any changes to assumptions may impact the overall accuracy of the projections.

The "Staff" section focuses on the input of assumptions to calculate the expected staff costs for the Business over the projection period. The following terms apply:

  • In this section, you will input key staff cost assumptions, including naming, annual salary, salary growth assumptions and number of staff per year or month. These inputs are necessary to provide a forecast of the Business's expected staff costs and related cash flows.
  • You are solely responsible for the accuracy, completeness and reasonableness of the assumptions you input. The Platform may assist in calculating projections based on this data, but incorrect assumptions may lead to inaccurate forecasts and analyses.
  • You may modify assumptions at any time in this section, and the projected outputs will update accordingly. However, any changes to assumptions may impact the overall accuracy of the projections.

The "OpEx" section focuses on the input of assumptions to calculate the expected operating costs for the Business over the projection period. The following terms apply:

  • In this section, you will input key operating cost assumptions, including naming and operating cost amounts per year or month. These inputs are necessary to provide a forecast of the Business's expected operating costs and related cash flows.
  • You are solely responsible for the accuracy, completeness and reasonableness of the assumptions you input. The Platform may assist in calculating projections based on this data, but incorrect assumptions may lead to inaccurate forecasts and analyses.
  • You may modify assumptions at any time in this section, and the projected outputs will update accordingly. However, any changes to assumptions may impact the overall accuracy of the projections.

The "CapEx" section focuses on the input of assumptions to calculate the expected capital expenditures for the Business over the projection period. The following terms apply:

  • In this section, you will input key capital expenditure assumptions, including naming, category, useful life, and capital expenditure amounts per year or month. These inputs are necessary to provide a forecast of the Business's expected property, plant and equipment balances, depreciation expense and related capital expenditure cash flows.
  • You are solely responsible for the accuracy, completeness and reasonableness of the assumptions you input. The Platform may assist in calculating projections based on this data, but incorrect assumptions may lead to inaccurate forecasts and analyses.
  • You may modify assumptions at any time in this section, and the projected outputs will update accordingly. However, any changes to assumptions may impact the overall accuracy of the projections.

The "Financing" section focuses on the input of assumptions to calculate the expected equity injections, grants and borrowings for the Business over the projection period. The following terms apply:

  • In this section, you will input key financing assumptions, including naming, type, amount, starting month, interest rate (for borrowings), repayment type (for borrowings) and term (for borrowings). These inputs are necessary to provide a forecast of the Business's expected equity and borrowing balances, interest expense, grant income and related financing cash flows.
  • You are solely responsible for the accuracy, completeness and reasonableness of the assumptions you input. The Platform may assist in calculating projections based on this data, but incorrect assumptions may lead to inaccurate forecasts and analyses.
  • You may modify assumptions at any time in this section, and the projected outputs will update accordingly. However, any changes to assumptions may impact the overall accuracy of the projections.

The "Statements" section provides you with a real-time, projected Income Statement, Balance Sheet, Cash Flow Statement and Key Ratios for the Business over the projection period on an annual or monthly basis. The following terms apply:

  • Only users with the necessary permissions will have access to the Statements view.
  • The Statements section displays data based on the inputs from the Setup, Revenue, OpEx, Staff, CapEx and Financing sections. We make no guarantees about the accuracy of the data if the inputs provided are incomplete or inaccurate. Users are advised to regularly validate the data reflected within the Statements section.
  • The platform also allows for the generation of data exports based on the data, which can be used for internal or external purposes. Exported PDF and Word/DOCX documents are generated automatically from user data and platform outputs. Users are responsible for reviewing and editing exported documents before using or sharing them.
  • While the Cash Flow Statement provides a high-level overview of the Business's financial projections, any business decisions made based on the data displayed are solely your responsibility.

The "Dashboard" section provides you with a real-time, summarised and visual representation of the Business's financial projections. The following terms apply:

  • Only users with the necessary permissions will have access to the Dashboard view. This provides insight into the Business's financial projections and include features such as financial summaries, key average ratios and results, and other relevant data visualizations.
  • The Dashboard displays data based on the inputs from the Setup, Revenue, Staff, OpEx, CapEx and Financing sections. We make no guarantees about the accuracy of the data if the inputs provided are incomplete or inaccurate.
  • The platform also allows for the generation of data exports based on the visualized data, which can be used for internal or external purposes.
  • While the Dashboard provides a high-level overview of the Business's financial projections, any business decisions made based on the data displayed are solely your responsibility.

The "Plan" section allows users to generate a Startup Financial Plan Pack based on the Business's financial projections, user inputs and selected report content. The following terms apply:

  • Only users with the necessary permissions will have access to the Plan section and related report generation features. This section may include features such as business profile inputs, funding and use-of-funds selections, AI-generated commentary, financial summaries, charts, tables, assumptions, key risks and downloadable report exports where available.
  • The Plan section uses data based on the inputs from the Setup, Revenue, Staff, OpEx, CapEx, Financing, Statements and Dashboard sections, together with any additional information entered by the user in the Plan section. We make no guarantees about the accuracy, completeness or suitability of the generated plan if the inputs provided are incomplete, inaccurate or unsuitable.
  • The platform may allow for the generation of PDF, Word/DOCX or other report exports based on the Financial Plan Pack, which can be used for internal or external purposes. Users are responsible for reviewing and editing all generated content before relying on it or sharing it with third parties.
  • Where AI-generated commentary is used, it is generated from user inputs and available projection data. AI-generated commentary may be inaccurate, incomplete or unsuitable for a particular purpose and does not constitute financial, investment, tax, accounting, legal, fundraising, lending or other professional advice.
  • While the Plan section provides a structured financial plan based on the Business's projections, any business decisions, funding applications, investor communications or third-party submissions made using the generated plan are solely your responsibility.

5. Plans & Payment

To ensure that our Offerings are accessible to a wide range of users, we have designed multiple subscription plans, each tailored with different features and functionalities to suit varying business needs. Users may select a plan that best aligns with their business requirements and financial constraints. Detailed information regarding the features and capabilities of each plan is provided in our Portal. You may upgrade or downgrade between plans at any time, subject to the terms outlined below. The different features and functionalities associated with each plan are duly listed on our Portal and website. The amount of users that are permitted to access your Businesses, the number of concurrent Businesses that you may have and whether you are able to export the results are some of the features that depend on which type of subscription plan you choose. Before proceeding with a subscription plan, we encourage you to read carefully our pricing page and if you need any clarifications, please get in touch with our support team. Certain features, including AI generation, Financial Plan Pack access and document exports, may be limited by subscription plan, session, usage allowance or technical availability. We offer two payment options: Monthly Payments: Payments are made in advance at the beginning of each monthly billing cycle. This option allows flexibility for businesses that may require shorter-term commitments. Yearly Payments: Payments are made in advance for a full 12-month period. This option offers a cost-effective solution, as yearly plans are priced at a discounted rate compared to monthly payments. By selecting the yearly payment option, you acknowledge that the commitment provides a financial advantage, and you agree to pay the full amount upfront. All subscription payments are non-refundable, this includes early termination for convenience by you. If you choose to cancel your account, you will continue to have access to the services until the end of the current billing cycle (monthly or yearly), after which your account will be deactivated. No refunds or credits will be issued for any unused portion of your subscription, whether on a monthly or yearly plan. You may choose to downgrade your subscription to a lower-tier plan at any time. The downgrade will take effect at the start of the next billing cycle (monthly or yearly), and no refunds or adjustments will be made for the current billing cycle. Downgrading may result in the loss of certain features or functionalities associated with the higher-tier plan. You may choose to upgrade your subscription to a higher-tier plan at any time. Upon upgrading, the new plan will take effect immediately, and a pro-rated charge will be applied for the remainder of the current billing cycle. The new billing rate will apply from the next cycle onward. The payment methods available from time to time, along with any associated charges, will be listed on our Portal. Payment must be made in Euro. You will be responsible for any charges associated with currency conversion.

6. Support

For any other query or concern, including technical queries, you can also reach out to us through our contact channels, including by sending us an email to hello@useprojectify.com. We are committed to providing prompt and attentive responses to all your queries. If you become aware of any issues, errors, or irregularities with our Platform or Offerings, including but not limited to inaccuracies in data, system malfunctions, or security concerns, it is your responsibility to promptly notify us. Failure to do so may result in a delay in addressing the issue and could affect the performance of our Offerings. We will make reasonable efforts to investigate and resolve reported issues, but we are not liable for any consequences arising from your delay or failure to inform us.

7. Warranties & Undertakings

You undertake and warrant the following:

  • To provide accurate, complete information at the time of registration and to promptly update this information as necessary;
  • To comply fully with any and all applicable local, national, and international laws and/or regulations;
  • To comply with any of our policies and regulations, including those regarding conduct, privacy, and technology use, understanding that failure to adhere to these policies may lead to disciplinary actions.
  • To use the technology and platforms provided solely for the intended purposes and to adhere strictly to guidelines regarding their acceptable use.
  • To refrain from doing anything that may prejudice our infrastructure or interfere with the experience of any other user.

Your use of the Portal and access to our Offerings is entirely at your risk. Our Offerings are made available to you on an "as is", "with all faults" and "as available" basis. To the fullest extent permitted by applicable law, we expressly disclaim and exclude all warranties, conditions and representations of any kind, whether express, implied or statutory, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

To the extent permitted by applicable law, we make no warranty or condition that (i) our Offerings will meet your requirements, (ii) our Offerings will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from your use of the Platform and access to our Offerings will be accurate or reliable, or (iv) our Offerings will meet your expectations.

We may include or upload links to other websites or third-party applications. We are not responsible for the content, accuracy or opinions expressed in such websites, and such websites are not verified, monitored or checked for accuracy or completeness by us. Inclusion of any linked website does not imply approval or endorsement of the linked website by us. If you decide to access these third-party websites, you do so at your own risk.

We do not guarantee uninterrupted or continuous availability of the Platform. Maintenance, upgrades, or technical issues may result in temporary interruptions.

We do not guarantee that use of the platform, projections, reports or Financial Plan Pack will result in funding, investment, lending approval, grant approval, business success or any specific financial outcome.

8. Intellectual Property Rights

Content belonging to us

All content uploaded to or displayed on Our Portal by us, including any software that is embedded within it and generally all material which may be visually and/or audibly presented to you (hereinafter "Our Content"), is either our intellectual property (including, but not limited to, copyright, domain name rights, logos and trademarks) or that of our licensor(s). Accordingly, Our Content is and will be protected by trademark, copyright and other laws protecting intellectual property and confidential information. All rights are reserved. Reproduction, transfer, distribution or storage of part or all of Our Content in any form (which for the avoidance of doubt include software, images, photographs, videos, audio, and text) without our prior written permission is prohibited except in accordance with the following permission. You further acknowledge that you have no rights whatsoever to use or lay claim to any intellectual property belonging to us and/or our licensors.

We grant you a limited, personal and non-exclusive license to access and use Our Content solely for the purposes set out in these Terms. You may not transfer this license or provide any rights therein to any third parties.

You agree not to monitor, use or copy our Platform and Our Content except where this is allowed explicitly. Any unauthorised use or reproduction may be prosecuted.

Any data and any information licensed to us from third parties is provided for use on the Platform only and may not be used for any commercial purposes without the consent of such third parties.

Content uploaded by You

We do not claim ownership rights in relation to any data, content or material that you post on our Portal ("Your Content"). This includes your Business details and any financial data uploaded or generated through the Platform. However, by posting or making Your Content available to us, you grant us a limited, non-exclusive license to process and use Your Content solely for the purpose of operating, maintaining and improving the Platform and providing the Offerings to you, in accordance with our Privacy Policy.

You also agree to ensure that Your Content complies with applicable laws, do not infringe any rights of third parties, and do not contain any material that is defamatory, obscene, illegal, threatening, or violates any party's privacy or intellectual property rights. This responsibility lies solely with you, and we reserve the right to review, edit, move or delete any such content at our discretion.

To the fullest extent permitted by law, you waive your moral rights in relation to Your Content and irrevocably undertake not to assert any such rights against us or any of our authorised users or assignors.

You hereby indemnify, defend, and hold us harmless against all loss, liability or expense (including reasonable attorney and witness fees and expenses) arising out of any claim brought by a third party that Your Content infringes upon, misappropriates, or otherwise violates any rights (including intellectual property rights) owned or controlled by a third party.

You should always keep separate copies of any material or work you upload onto our Portal, whether as part of your assessments or otherwise. To the extent permitted by law, we accept no liability whatsoever for loss, destruction or corruption of or to data or content you upload.

9. Our Liability

To the fullest extent permitted by applicable law, we will not be liable for any (a) indirect, incidental, special, consequential, punitive or exemplary damages, (b) damages for loss of profits, (c) damages for loss of goodwill, (d) damages for loss of use, (e) loss or corruption of data, or (f) other intangible losses (even if we have been advised of the possibility of such damages), whether based on contract, tort, negligence, or otherwise, arising out of or in connection with the use of (or inability to use) our Offerings (or any of them) or the use of or reliance upon any content, available or accessible on our Platform or whilst accessing our Offerings. To the fullest extent permissible by law, we exclude all representations, warranties, and guarantees (whether express or implied) that may apply to the Platform or generally all of the content or material available whilst accessing or using our Offerings. We exercise all reasonable skill and care to ensure that our Offerings are free from viruses and other malware. To the fullest extent permitted by law, we accept no liability for any loss or damage resulting from a virus or other malware, a distributed denial of service attack, or other harmful material or event that may adversely affect your hardware, software, data or other material that occurs as a result of your use of our Offerings. To the maximum extent permitted by applicable law, and unless otherwise excluded in terms of the aforementioned, in no event will our total liability to you for all damages, losses (including contract, negligence, statutory liability or otherwise) or causes of action exceed the lower of (a) fifty Euro (€50) or (b) the sums you have paid us in the 12 months before the event giving rise to your claims. This limitation applies in aggregate to all claims arising under or in connection with these Terms. Nothing in these Terms excludes or restricts our liability for fraud or fraudulent misrepresentation, for death or personal injury resulting from negligence, or for any other forms of liability which cannot be excluded or restricted by law. We will not be liable or responsible for any failure to perform or delay in performance of any of our obligations that is caused by events outside our reasonable control, including but not limited to internet failures, cloud hosting failures, third party service providers and cyber incidents amongst others.

10. Suspension, Termination & Related Matters

We have the right to close or suspend your Account and/or your right and entitlement to use and access our Offerings if: (a) you breach these Terms or any other legal agreement in force between us; or (b) allowing you to keep using our Offerings would violate applicable law or a court order. In the event that termination is considered, and unless the circumstances require otherwise, you will be notified in writing, detailing the reasons and given an opportunity to respond before a final decision is made. You also have the right to close your Account at any time by following the instructions in the relevant part of our Portal. You understand that by cancelling your Account you will be unable to access our Offerings, including any data associated with your Business. Following the termination of your Account (howsoever caused), you will no longer have the ability to access our Offerings or retrieve any relevant data associated with your Account, including any data related to your Businesses. Upon such termination, we do not provide long-term archival services. You are responsible for exporting and retaining copies of your financial data prior to termination. The termination will result in the discontinuation of your privileges and rights to use our Offerings. Certain provisions of these Terms which by their nature are intended to survive termination, including but not limited to intellectual property, indemnity and liability limitations, shall continue in full force and effect. We have the right to deactivate, remove, modify or replace our Offerings or any specific part or functionality, at our discretion, without prior notice. However, we will make reasonable efforts to notify you, particularly if we believe that failure to do so would materially prejudice you. You acknowledge and agree that we will not be liable to you and any third party if we exercise any of our rights indicated above.

11. Viruses, Malware and Security

You are responsible for protecting your hardware, software, data and other material from viruses, malware, and other internet security risks. You must not do, attempt to do, or assist any third party to do any of the following: (a) decipher, decompile or reverse engineer any software or code that is used by us in relation to our Offerings, (b) circumvent, disable, override or otherwise interfere with any security feature that we implement to safeguard our infrastructure, the Platform or any content that we make available through our Offerings, (c) interfere with or place an unreasonable load on our infrastructure; (d) "framing," "mirroring," or similar actions that involve copying or simulating the visual appearance or features of our Offerings; and (e) use or access any account without permission. You must not deliberately introduce viruses or other malware, or any other material which is malicious or technologically harmful either to or via our Offerings. You must not attempt to gain unauthorised access to any part of our Offerings, the server(s) on which our Offerings are hosted and stored, or any other server, computer, or database connected to our Offerings. You must not attack us or any of our infrastructure by means of a denial of service attack, a distributed denial of service attack, or by any other means.

12. Data Protection & Privacy

All personal information that we may use will be collected, processed, and held in accordance with the provisions of EU Regulation 2016/679 General Data Protection Regulation ("GDPR") and your rights under the GDPR. For complete details of Our collection, processing, storage, and retention of personal data including, but not limited to, the purpose(s) for which personal data is used, the legal basis or bases for using it, details of your rights and how to exercise them, and personal data sharing (where applicable), please refer to Our Privacy Policies, available from https://www.startupfinancialspro.com/PrivacyPolicy. These policies are incorporated into these Terms by this reference. To provide AI commentary and report generation, we may process user inputs, projection data and related report content in accordance with our Privacy Policy. For the purposes of applicable data protection laws, you act as the data controller in respect of any personal data contained within Your Content, and Projectify acts as a data processor solely for the purpose of providing the Offerings in accordance with these Terms. Projectify shall process such personal data only on your documented instructions as reflected through your use of the Platform and in accordance with applicable data protection laws and our Privacy Policy.

13. Entire Agreement; Changes to these Terms

These Terms and any other document expressly referred to herein constitute the whole agreement between us and supersede all previous discussions, correspondence, negotiations, previous arrangement, understanding or agreement between us relating to this subject matter. We both agree and accept that, neither of us relied on any representation or warranty (whether made innocently or negligently) that is not set out in Terms or the documents referred to in them. We may alter these Terms at any time, but in any case, we will inform you accordingly, by means we deem reasonable in the circumstances. In the event of any conflict between the current version of these Terms and any previous version(s), the provisions current and in effect shall prevail unless it is expressly stated otherwise.

14. Feedback & Complaints

It is important to us to ensure that your feedback is heard. You may send any message containing complaints, suggestions, or queries that you might have regarding the use of the Platform by contacting us through any of our contact channels. All messages are handled with due care by us and shall be confidential. Upon receiving any such feedback, we will endeavour and do our utmost to reply as soon as is practicable.

15. Waiver, Severability

Our failure or delay to enforce any provision of these Terms is not a waiver of our right to do so later. If any provision of these Terms shall be found by any court or administrative body of competent jurisdiction to be invalid or unenforceable, the invalidity or unenforceability of such provision shall not affect the other provisions of the Terms and all provisions not affected by such invalidity or unenforceability shall remain in full force and effect.

16. Assignment

We reserve the right, without your consent, to assign these Terms and our rights and obligations under these Terms to a third party. This may happen as a result of or in preparation of a corporate transaction but there may be other circumstances where we may decide to do so.

17. Law & Jurisdiction

These Terms, and the relationship between you and us (whether contractual or otherwise) shall be governed by, and construed in accordance with the law of Malta.

You irrevocably agree to submit yourself to the non-exclusive jurisdiction of the Courts of Malta for settlement of any matter or dispute whatsoever arising out of these Terms or generally arising as a result of your use of the Platform and/or our Offerings.

In any case, this choice of applicable law and jurisdiction shall not have the result of depriving you of the protection afforded to you by provisions that cannot be derogated from by agreement by virtue of the law which, in the absence of choice, would have been applicable.
